Clarky AI LLC, doing business as Denny AI, provides AI-powered receptionist and automation solutions for businesses.
By accessing or using our Service, You agree to be bound by these Terms.
Interpretation and Definitions Interpretation Words with capitalized initial letters have meanings defined below. The definitions apply equally whether they appear in singular or plural form.
Definitions For the purposes of these Terms and Conditions:
Affiliate means any entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the voting securities or equity interests.
Account means a unique account created by You to access the Service.

Subscriptions
Subscription Period
Some portions of the Service are available only through paid Subscriptions, billed in advance on a recurring basis (e.g., monthly or annually) depending on your plan.Your Subscription automatically renews under the same terms unless canceled by You or by the Company.
Cancellation
You may cancel your renewal through your Account settings or by contacting Us directly.
Payments for the current Subscription term are non-refundable, but access remains active until the end of the paid period.
Billing
You agree to provide accurate and complete billing details including your name, address, and payment method. If automatic billing fails, we may issue an invoice requiring manual payment within a specified time frame.
Fee Adjustments
We may modify Subscription fees at any time, with reasonable advance notice. Continued use of the Service after fee changes take effect indicates your consent to the updated pricing.
Refunds
Unless required by law, Subscription fees are non-refundable. Refunds, if any, are issued solely at our discretion.
Free Trials
Denny AI may offer Free Trials at its discretion. You may be required to enter billing details to start a trial.
If not canceled before the trial ends, your Subscription will automatically convert to a paid plan. We reserve the right to modify or terminate any Free Trial offer without notice.
Promotions
Promotional offers may have separate terms. If there’s a conflict between a promotion’s terms and these Terms, the promotion’s rules will prevail for that specific offer.
Denny AI Services Eligibility
You may use the Service only if you are legally able to form a binding contract and comply with all applicable laws.
The Service is unavailable to individuals under 18 or anyone previously suspended by Denny AI.
Call Recording
Subject to these Terms, you may enable or disable call recording features by contacting info@denny.ai.
It is your responsibility to obtain all legally required disclosures and consents for any recorded calls.
SMS Communication
Users may opt in to receive text message notifications or appointment reminders. Verbal consent must be provided and stored.
Users can opt out at any time by replying
STOP.Example Script for SMS Opt-In:Denny Agent: “Would you like to receive confirmation text messages about your appointments? Message and data rates may apply. You can opt out anytime by replying STOP. Please reply ‘yes’ or ‘no.’”
Customer: “Yes.”
Denny Agent: “Great! We’ll send a confirmation text shortly.”
User Accounts
When creating an account, you must provide accurate and current information. You are responsible for safeguarding your password and account credentials.
Notify us immediately of any unauthorized access or security breach. Usernames that impersonate others, infringe trademarks, or contain offensive content are prohibited.
Intellectual Property
All content, design, features, and functionality of Denny AI (except user-generated content) are the exclusive property of Clarky AI LLC dba Denny AI.
You may not use our trademarks or brand assets without prior written consent.
Feedback
You agree that any Feedback you provide becomes the property of Denny AI.
If the assignment of rights is not enforceable, you grant Denny AI a perpetual, royalty-free license to use and modify your Feedback for any purpose.
Links to Third-Party Websites Our Service may contain links to external websites or services not operated by Denny AI. We are not responsible for their content, privacy practices, or policies.

Termination We may suspend or terminate your account without prior notice if you violate these Terms.

To the maximum extent permitted by law, Denny AI and its affiliates shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.
Our total liability for any claim shall not exceed the greater of $100 or the amount you paid in the previous three months.

We make no warranties of any kind, express or implied, regarding reliability, performance, or availability.
We do not guarantee the Service will be uninterrupted, error-free, or free from harmful components.Some jurisdictions do not allow certain exclusions, so these limitations may not apply in all cases.

These Terms are governed by the laws of the State of Florida, excluding conflict-of-law principles.
Your use of the Service may also be subject to other local, state, or federal regulations.
Dispute Resolution
If a dispute arises, you agree to first contact Denny AI to seek an informal resolution before pursuing legal remedies.
U.S. Legal Compliance
You represent that You are not located in a country under U.S. government embargo or on any restricted party list.
Severability and Waiver
If any provision of these Terms is deemed unenforceable, the remaining provisions remain valid.
Failure by either party to enforce a right or provision shall not constitute a waiver of that right.
Translation
If these Terms are translated into another language, the English version will control in case of conflict.
